Page 1 of 1 HV Holdings Ltd is recruiting a Company Secretary Main Purpose of the Job: The job incumbent shall assist in performing company secretarial duties as per Companies Act. He/She shall provide administrative support by drafting minutes of meetings and resolutions of Board and Committees of the Company. He/She shall also assist in the preparation of annual reports and in maintaining the various registers as required. The incumbent is responsible for modelling and acting in accordance with the Company values and guiding principles. He/she will report to the Board and/or any other person assigned by the Board. Job Description - Main Duties and Responsibilities Ensure that the company complies with its constitutions and relevant statutory and regulatory requirements, codes of ethics and rules established by the board and/or relevant Acts. Maintain and continuously update the company’s and statutory register(s). Assist in developing and maintaining the Governance Framework in line with the code of Governance and Best Practices. Manage and provide secretarial services to the Company and its subsidiaries amongst others, preparation and filing of resolutions and relevant documents (relating to changes in bank mandates, issue of shares, change in directors, change of name, transfer of shares, etc.). Ensure that meetings and resolutions of the board are properly held and passed in accordance with the company’s articles of association and/or relevant procedures, including follow up of the action points agreed. Act as an advisory to the board and its directors on how their responsibilities should be properly discharged in the best interests of the organization. Assist in proper induction of directors, including assessing specific training needs of directors and executive management where relevant. Assist in all areas of all other corporate secretarial matters (e.g., Assuring that all annual returns have been properly filed, all charges have been properly erased where applicable, all relevant fees have been paid timely to the authorities, etc.) Communicate with the shareholders and ensure that due regard is paid to their interest. Monitor and assist with statutory filings with regulatory authorities. Assist in the preparation of the Annual Reports and Corporate Governance Reports by liaising with all concerned stakeholders. Assist Management in implementing and re-organisation the structure of the group companies. Candidate Profile (Ideal): Qualification : ICSA Qualified Experience : At least 5 years of experience in Corporate Secretarial Services Generic Competencies: Structured thinker with an ability to communicate effectively. Strong oral and written communication skills in both English and French. Proactive, well-organized, high level of accuracy with attention to detail and a team player. Ability to work diligently and meet tight deadlines. Ability to maintain high level of confidentiality. Technical Competencies: Sound knowledge of legal & regulatory framework and Companies Act.
