END USER LICENSE AGREEMENT (EULA) for Np365SampleQMS Last Updated: 03/12/2025 1. Acceptance of Terms This End User License Agreement (“Agreement” or “TOU”) is a legal contract between you (either an individual or a single entity, the “User”) and Netpower , the provider (“Provider”) for the use of the Np365SampleQMS SharePoint Web Part (“The Software”). By installing or using the Software, you agree to be bound by the terms and conditions of this Agreement. 2. Grant of License The Provider grants you a revocable, non - exclusive, non - transferable, limited license to install and use the Software on a computer or device within your Microsoft 365 Tenant for internal business or personal use, subject to the terms of this Agreement. 3. Restrictions on Use You agree not to, and you will not permit others to: • Modify, translate, adapt, or otherwise create derivative works or improvements of the Software. • Reverse engineer, decompile, or disassemble the Software. • Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of the Provider or its affiliates. • Use the Software for any purpose that is unlawful or prohibited by this Agreement. 4. Intellectual Property Rights You acknowledge and agree that the Software is provided under license, and not sold, to you. The Provider shall retain all title, ownership rights, and intellectual property rights in and to the Software. 5. Disclaimer of Warranty THE SOFTWARE IS PROVIDED "AS IS" AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND. The Provider hereby disclaims all warranties and conditions, whether express, implied, or statutory, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, and non - infringement. The Provider make s no warranty that the operation of the Software will be uninterrupted or error - free. 6. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, in no event shall the Provider be liable for any special, incidental, punitive, or consequential damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of information, or any pecuniary loss) arising out of the use of or inability to use the Software, even if the Provider has been advised of the possibility of such damages. 7. Termination This Agreement is effective until terminated by you or the Provider. Your rights under this Agreement will terminate automatically without notice from the Provider if you fail to comply with any of the terms of this Agreement. Upon termination, you shall c ease all use of the Software. 8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Norway 9.
