PETITION TO AMEND THE BY-LAWS These By-laws or any part thereof may be amended at the annual or special meeting of the voting members called for that purpose at which a quorum was present, provided (a) the proposed amendment is presented in writing to the Board at least fifteen days prior to said meeting; and (b) the exact text of the proposed amendment is distributed to the Voting Members at least seven days prior to said meeting. Any action at a duly called meeting of the membership to amend the schedule of dues, fees or certificate value or to revise the classes of membership shall be considered by this action to be an amendment of the appropriate Articles and/or Sections of these By-Laws. We believe had these by-laws not been previously amended or were currently in effect many of the challenges PCC is currently faced with would have been avoided. ARTICLE IIV - OFFICERS SECTION 3 - REMOVAL This power and authority should not only reside with the board but also with the voting members of PCC ARTICLE VII - OFFICERS SECTION 2 - ELECTION AND TERM OF OFFICE The officers of the board should be limited to certificate holding golfing members ARTICLE VI - BOARD OF GOVERNORS SECTION 4 - TENURE No Governor shall be elected to an additional term within fifteen (15) years of their previously served term. This will allow the board to remain fresh and energetic. ARTICLE IV - ASSESSMENTS SECTION 1 - LIMITED By changing this from the original capital items only to the board's descretion has contributed to the board's lack of transparency and lose oversight. FIRST PROPOSED AMENDMENT: CURRENT VERSION ARTICLE I I V OFFICERS SECTION 3 REMOVAL Any officer elected, manager, golf professional and greens superintendent appointed by the Board may be removed only by the Board whenever in its judgment the best interests of the Corporation would be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed. The Board has the authority to enter into written employment agreements or contracts for multiple years not exceeding three years in duration, for the manager, golf professional, and/or grounds superintendent whenever in its judgement the best interests of the Corporation would be served by so doing. PROPOSED AM ENDMENT ARTICLE VII O FFICERS SECTION 2 ELECTION AND TERM OF OFFICE The officers of the corporation shall be elected annually by the Board at the next Regular Meeting of the Board after the annual election of Governors. If the election of Officers shall not be held at such meeting, such election shall be held as soon thereafter as conveniently may be. Vacancies may be filled or new offices created and filled at any meeting of the Board. Each officer shall hold office until such officer ’ s successor shall have been duly elected and shall have qualified or until such officer ’ s death, resignation, or removal in the manner provide by these by-laws. All officers holding the positions of president, vice- president, treasurer, secretary, assistant treasurers, or assistant secretaries shall be certificate holding golfing members in good standing immediately prior to their election to the Board and during their tenure on the Board. Thereafter, each December, either two or three governors shall be elected for three year terms to maintain a seven member Board. The governors shall serve until their successors shall have been elected and qualified. FOURTH PROPOSED AMENDMENT: CURRENT VERSION ARTICLE IV ASSESSMENTS SECTION 1 LIMITED By a majority vote of the Board at a meeting at which a quorum was present, assessments not exceeding a total of One month’s obligation (dues and capital assessment) in any one calendar year may be levied against and collected from each member, who has been elected to membership as of the date the assessment action is taken by the Board, payable on such terms and conditions as the Board may determine. PROPOSED AMENDMENT ARTICLE IV ASSESSMENTS SECTION 1 LIMITED By a majority vote of the Board at a meeting at which a quorum was present, assessments not exceeding a total of One month’s obligation (dues and capital assessment) in any one calendar year may be levied against and collected from each member who has been elected to membership as of the date the assessment action is taken by the Board, with notice of each such proposed assessment and the purpose therefor to be announced in writing to the membership at least ten days in advance and with each such assessment to be used for capital projects only and not for operating expenses.
