Furthermore, Semios customers manage and operate complex agricultural operations. Given the high value of the crops and the integral nature of the Semios system, we recognize the importance of providing clear information to our customers regarding our service plan. This ensures that all components remain in peak operational condition throughout the growing season. Additionally, we outline the customer’s responsibilities for maintaining the reliability of our services. This document defines the service plan and the responsibilities of both parties. Responsibilities: The responsibilities are listed below for both Semios and the customer. Semios: ● If an issue cannot be resolved remotely, Semios may, at its discretion, dispatch a technician within a timeframe based on seasonality and data sensitivity as Semios finds common practice, at rates to be communicated prior to dispatch. ● Send detailed invoices for Customer at-fault charges and Customer requested equipment relocations in a timely manner. Customer: ● Provide Semios with up-to-date point/s of contact for notification of scheduled work and site access if set out in a statement of work. ● Pay for any physical damage to or loss of equipment caused by theft, negligence, customer, customer’s employees, customer’s sub-contractors, rodents or other pests in a timely manner. WARRANTY: Semios warrants that: (i) all Products will comply with the written specifications set forth on the Product labels or in documents provided with the Product or otherwise issued by Semios from time to time, and (ii) each unit delivered by Semios will be free from material defects in design, materials and workmanship and will perform as described in the specifications provided for a single season use. In the event of defective product, Semios will arrange for a replacement unit to be provided.
