Your joining date shall be 1 st October 202 0 Y ou will be paid a consolidated s alary along with applicable benefits as detailed in the Annexure on a monthly pro - rata basis Any and all deductions as mandated by law shall be made 2. “ Affordmed ” shall mean Afford Medical Technologies Private Limited and its successors, assigns, shareholders, subsidiaries, joint ventures, affiliates, contractors, sub - contractors, employees, directors both past and present. Afford Medical Techn ologies Private Limited may assign its rights and obligations under this agreement to any other person(s), companies, firms, trusts or societies without prior notice 3. Your initial reporting location at Affordmed is at our headquarters in Secunderabad. Howev er, you may be liable to be posted at any establishments or branches of the Company or its assigns in India 4. The requirement of in - person reporting or physical presence may be waived at the discretion of Affordmed in line with Affordmed’s business continuit y processes/norms 5. You will be governed by the rules and regulations of Affordmed as applicable, enforced, amended or altered from time to time during the course of your employment 6. Any business - related expenses incurred as a part of your work during the emp loyment, approved in advance by the authorised signatory or representative of Affordmed will be duly reimbursed to you on actuals and will be incumbent on submission of appropriate bills, tax receipts and documentation as applicable AFFORD Medical Technologies Pvt. You will have to bear all other expenses concerning your employmen t with Affordmed includ ing but not limited to any local conveyance expenses, your accommodation expenses, any expenses incurred due to illness or medical conditions, etc 8. You are welcome to use facilities available both at our office location and digital resources , tools and services as per company policy and guidelines as applicable from time to time 9. Any absence should be with prior approval of your supervisor/manager or authorised signatory or representative of Affordmed 10. Health Insurance benefits being provided under this contract may be modified, revoked by Affordmed without prior notice. In the event of the medical insurance claim being rejected or being partially paid by the insurer, all r emaining dues owed in connection with your hospitalisation to either the insurer or the concerned hospital/medical institution shall be solely payable by you 11. You are requested to produce all your credentials and certificates of educational qualifications a long with a duplicate copy for verification. The originals will be returned to you after verification, however, any duplicate/additional copies in our possession will not be returnable 12. In the event of gross misconduct, indulgence or participation in any il legal activities, breach of confidentiality/non - disclosure, non - defamation, non - solicitation terms or other company policies, refusal to carry out reasonable instructions, dissatisfactory performance of duties and the like, destruction of Affo rdmed’s physical and digital assets including Confidential Information, your assignment with Affordmed will be subject to immediate termination and Affordmed shall not be liable to pay any salary or compensation. Affordmed further reserves the r ight to other legal recourse as it deems fit to protect its legitimate interests 13. You are prohibited from undertaking any work beyond this employment either via employment or through contractual arrangements either within India or overseas during the durati on of this employment contract except with the prior approval/consent of Affordmed . This shall apply irrespective of the extent/mode of financial or in - kind consideration received/receivable for this purpose by you or your next of kin 14. Approval for the same shall be denied if such work is in the form of full - time employment (and /or ) the other contracting party either undertakes business/commercial activity in the e - commerce domain or the medical/healthcare industry. As a precursor to any such approval, you s hall ensure that any such contract shall not impinge upon the intellectual property rights of Affordmed as detailed below and that you and the other contracting party shall indemnify Affordmed of all liabilities and costs for the work undertaken by you for the a forementioned contracting party. Approval so given may be revoked without prior notice in the event that your work with external parties adversely affects the performance of your duties and responsibilities at Affordme d 15. Confidential Information: The term “ Confidential Information ” means any information or material , either physical or digital in format, which is proprietary to Affordmed, whether or not owned or developed by Affordmed, which is not generally known other than by Affordme d. Regardless of whether specifically identified as confidential or proprietary, Confidential Information shall include any information provided by Affordmed concerning the business, AFFORD Medical Technologies Pvt. B - 230, 2 n d Main Road, AFOCHS, Sainikpuri, Secunderabad, Telangana, India - 500094 technology and information of Affordmed including, without limitation bus iness, sales and marketing records, plans and strategies, trade secrets, organizational information, technical data, product ideas, contracts, financial information including accounting records, banking information, dealings with regulatory agencies, IT in frastructure, network (and/or ) software architecture, passwords, e - mail addresses, internet protocol addresses, web domain information, nameserver records, tax status and strategies, records of employees’ performance metrics and compensation, pricing struc ture, discount, computer programs and listings, source code, object code, know - how, future research and proposals, work plans and publications, copyrights, intellectual property, inventions, sales leads, strategic alliances, partners, data pertaining to cu stomers, vendors, clients and any other information that may be specifically classified by Affordmed as “Confidential” or the confidential nature of which may be deemed to be known by you 16. You understand and affirm that you shall not disclose, communicate, share “Confidential Information” during the course of your employment with Affordmed, and for any time thereafter, directly or indirectly, to any other person(s), companies, firms, trusts including any future employers, directly or indirectly, any knowledg e or information acquired by you during or in consequence of your employment with Affordmed and any dissemination, disclosure will amount to a breach of the employment contract resulting in direct loss to Affordmed. Also, you shall not damage, destroy or tamper with any Confidential Information in your possession during the course of your employment except when explicitly instructed to do so by Affordmed 17. You shall not utilise any “Confidential Information” that may come into your possession or you may become aware of for any purposes during the course of your employment with Affordmed, and for any time thereafter, except in discharge of your duties as an employee of Affordmed 18. Anything in your possession, with respect to such aforementioned information, etc. as well as physical/tangible assets/property owned by Afformed must be delivered to Affordmed forthwith on demand upon termination of your employment. Upon such delivery, you shall not retain or hold in your possession or transmit to any person(s), compa nies, firms, societies or trusts any copies, replicas, backups either in digital or physical format 19. All intellectual property rights in any work or material developed by you during the course of your employment shall belong to and be the exclusive property of the Affordmed and you affirm that you shall not be entitled to claim any rights over such intellectual property 20. Data Collection , Storage : Affordmed collects , stores information and data provided to us by you including, but not limited to, your identification documents, academic credentials , emails, messages , calls, etc. In add ition, Affordmed collects information automatically , either dir ectly or through third parties, information and data including , but not limite d to, financial information, tax records, credit history, court records, performance metrics, compensation details, insurance linked information, medical records, background veri fication records, etc. and your utilisation of Affordmed ’ s physical and digital assets , resources , third party services, tools, software , hardware This shall also include information collected from any d evices t hat you may o w n on which you shall ac cess Affordmed ’ s digital resources and information All personal ly identifiable information shall be stor ed during your em ployment with Affordmed and any time there after , as required in compliance of statu tes, laws in force in India , whic hever is l ater. Data Processing : A ny and all data pertaining to you may be processed, ag gregated and analysed in the due course of business opera tions. Non - personal or anonymised aggr egated data shall be stored , processed and utilised by A ffordmed for any and a ll purposes indefinitely based on business requirements 22. D ata Sharing : A n y and a ll data that is received or collected by A ffordmed may be shared with government depar tments, agencies, min istries, etc. as required by law or in compliance of an order/judgement issued by a court of competent jurisdiction In addition, in the course of business ac tivit ies , your data may be shared with third parties including, but not limited to banks, financial institutions, credit bur eaus, future empl oyers, ve rification agencies, audi tors, secretarial firms, etc. as the need may ari se on a case - by - case basis with sufficient safeguards on a best - effort basis. 23. Jurisdiction & Arbitration : This agreement shall be governed by all applicable laws in India. In the event that state laws govern any provisions of this agre ement, the laws of Telangana shall solely apply in extension to central laws. Any difference or dispute or claim arising out of or in relation to this Agreement, which is not resolved amicably, shall be resolved by arbitration under and in accordance with the Indian Arbitration and Conciliation Act, 1996 as amended from time to time . The arbitration proceedings shall be held via electronic/virtual media utilising suitable digital aids. In the event that an in - person arbitration is deemed necessary by the arbitrators so appointed, the venue shall be Hyderaba d 24. Courts of Hyderabad/Secunderabad shall have the sole jurisdiction in the event of any dispute arising out of this contract, which is not resolved amicably or through the arbitration process laid out in 23 25. Severability : If a court of competent jurisdiction holds any provision or clause unenforceable, such ruling shall not impair any other provision that remains intelligible and all other provisions shall continue in effect 26. Non - Solicitation : You shall not, either on your own or on behalf of any other person (s) , firm s , compan ies , trust s or soci et ies , solicit, interfere with or endeavour to entice away any person (s) employed by Affordmed or by any person , firm or company or trust or society associated directly or indirectly with Affordmed . The placing of a bona - fide recruitment advertisement available to m embers of public generally of post not specifically directed to such person and any employment resulting therefrom shall not however constitute a breach under this clause 27. You shall not, either on your own or on behalf of any other person (s) , firm s , compan ies , trust s or soci et ies engage in any tortious interference with the contracts, relationships and prospective economic advantage of Affordmed 28. Non - Defamation : You shall not , during the course of your employment with Affordmed , and for any time thereafter, directly or indirectly, in public or private, in any manner or in any medium whatsoever, deprecate, impugn , publish, disseminate, contribute or otherwise make any comments, writings, videos, audios, graphics, drawings, images, remarks or any other expressions that would, or could be construed to, defame , disparage , malign, libel or slander Affordmed, products and services offered by Af f ordmed or any of its affiliates, successors, assi gns, present or former employees, directors, contractors , sub - contracto rs, customers, auditors, lawyers, advisors, clients, distributors, dealers, agents, vendors, suppliers except as AFFORD Medical Technologies Pvt. Ltd. B - 230, 2 n d Main Road, AFOCHS, Sainikpuri, Secunderabad, Telangana, India - 500094 required by an order/judgement issued by a court of competent jurisdiction You shall not as sist any other person, firm , company , trust, society in so doing 29. Time Periods: The Non - Disclosur e, Non - Solicitation and Non - Defamation clauses of this agreement shall survive the termination of this Agreement. Your duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a tr ade secret or until Affordmed send s a written notice releasing you from the Non - Disclosure provisions of this agreement, whichever occurs first 30. Notice : This employment contract can be terminated by either party by providing one - month prior notice to the ot her in writing 31. Integration : This agreement and the Annexure hereof shall constitute the entire agreement between you and Affordmed hereto relating to your employment at Affordmed, and there are no oral or written statements, representations, warranties, un dertakings or agreements between us, except as provided herein 32. Waiver: The failure to exercise any right provided in this agreement shall not be a waiver of prior or subsequent rights 33. This agreement and each party’s obligations shall be binding on the representatives, assigns, and successors of such party. 34. You may not assig n your rights and obligations to any other person(s), companies, firms, societies or trusts. Your employment at Affordmed shall not entitle a right to employment or other financial, non - financial benefits mentioned in this agreement upon your relatives (an d/or) successors except as required by an order/judgement issued by a court of competent jurisdiction 35. Your candidature is subject to the fulfilment of all the terms and conditions listed herewith and applicable company policies 36.
