BANKING ACCOUNT 10 23. ALTERATIONS TO THE CONSTITUTION 10 1. ESTABLISHMENT AND NAME The name of the club shall be the Old Lions Cricket Club, hereinafter referred to as the Club. 2. HEADQUARTERS The headquarters of the club shall be Dainfern College located at 96 Broadacres Dr, Dainfern, Johannesburg, 2055 3. AIMS AND OBJECTIVES To promote the game of cricket within the Old Lions Association and facilitate its development in the local community. 4. CONTROL a) The overall policy and control of the Club shall be vested in the Old Lions Association; b) The control of its funds and property shall be vested in the Club; c) The Club shall be managed by the Club Committee duly elected at the Annual General Meeting of the Club 5. MEMBERSHIP The Club shall consist of all present members of the Old Lions Cricket Club as constituted prior to the acceptance of this Constitution as well as all future members of the Club. 6. MEMBERS The Club shall consist of all present members of the Old Lions Cricket Club as constituted prior to this Constitution as well as all future members of the Club. a) Senior members – That is to say all members of the Club above the age of eighteen (18) who pay the annual subscription fees decided up by the Executive Committee. b) Junior members – All members of the club below the age of eighteen (18). Such members do not qualify for membership of the Executive Committee, nor shall they be entitled to vote in the affairs of the Club until they reach the age of 18 years but shall still pay an annual subscription to be decided by the Executive Committee. 7. EXECUTIVE COMMITTEE At the Annual General Meeting, the following officers, who shall comprise the Executive Committee, shall be elected: Chairman; Vice-Chairman; Secretary/ Treasurer; Club Captain; minimum of 3 additional Committee Members. a. The Executive Committee: a) The affairs of the Club shall be managed and controlled by an Executive Committee consisting of the Chairperson, vice-chairperson, the Secretary, the Treasurer and two members elected by ballot at the Annual General Meeting of the Club. b) In the event of a vacancy occurring, the Executive Committee shall have the power to fill such a vacancy or to nominate an alternate for a member temporarily absent. c) The Executive Committee shall meet at such times as it deems necessary and may regulate its procedure as it thinks fit; Five shall form a quorum. d) Business as any meeting of the Committee shall be decided by a majority of votes. In case of equality, the Chairperson shall have the casting vote. e) The Secretary, on instructions from the Chairperson or on a written request from not less than three members of the committee shall convene an Executive Committee. f) The Treasurer shall: i. be responsible for the collection of and due administration of all monies and funds of the club, and when required by the Executive Committee shall present a statement in full of the Clubs financial position, supported by any Bank Statement and/or deposit book or books, and/ or any documents in respect of any investments held by the club. ii. pay all accounts either as authorised by the Committee g) Any member of the Committee who fails to attend three consecutive meetings without having obtained leave, shall cease to be a member of the Committee. 8. TERMS OF OFFICE The Executive Committee shall serve for a period of twelve (12) months and shall be eligible for re-election. Members may be co-opted or appointed by the Executive Committee to fill any vacancies caused by resignation. 9. POWERS AND DUTIES OF THE EXECUTIVE COMMITTEE The Executive Committee shall: a) be responsible for the control and disbursement of funds of the Club; b) Be responsible for the running of the affairs of the Club; c) be entitled to make byelaws regulating the affairs of the Club not inconsistent with this Constitution which shall be posted through suitable club forums for fourteen (14) d) Ensure the monies accumulated are deposited in the allotted bank account of the Club e) Organise the participation of teams in Leagues and tournaments; f) Organise other matches in accordance with laid-down procedures; 10. MEETINGS a) The Annual General Meeting shall be held before the beginning of the usual club season, usually October. The agenda for the Annual General Meeting shall be determined by the Executive Committee and shall include the following: Notice of convening the meeting; i. Confirmation of the Minutes of the previous Annual General Meeting; ii. Consideration of the Executive Committee’s Report for the year under review and the adoption of the Financial Statement. iii. Election of Officers iv. Consideration of Notices of Motion; v. General Business b) Special General Meetings shall be convened: i. By order of the Executive Committee (at least ten (10) days’ notice of such a meeting shall be given to all members). ii. Within twenty-one (21) days of a requisition delivered to the Secretary, signed by no less than teen (10) bona-fide members in good standing. (At least ten (10) days’ notice of such meetings shall be given to all members). A Special General Meeting shall confine itself to the specific business for which it is convened. c) Executive Committee Meetings shall be held monthly during term time. 11. QUORUMS At all meetings, 50% of those entitled to vote shall constitute a quorum. If there is no quorum, the meeting shall decide immediately whether or not to proceed. The decision to proceed must be approved by two-thirds of the majority of those present. 12. VOTING a) All members of the Club in good standing shall be entitled to vote. b) The Chairperson shall have a casting vote. 13. RESIGNATION AND REINSTATEMENT Any member desirous of resigning their membership must tender his resignation in writing to the Executive Committee, who shall accept the same, provided he shall have discharged all indebtedness to the Club. Any member may be reinstated by the Committee at its discretion and on such terms and conditions as it shall deem fit. 14. MISCONDUCT OF MEMBERS Should any member of the Club in the opinion of the Executive Committee: a) Be guilty of improper, dishonest or unsportsmanlike behaviour or of the conduct prejudicial to the interest and reputation of the Club, whether on the Club’s premises or elsewhere, or of conduct offensive to members; or b) Commit any wilful breach of the Constitution or Byelaws of the Club; or c) Bring into the club premises any person who whose presence be prejudicial to the club, or objectionable to the Members; or d) Wilfully damage any property of the Club; the Executive Committee shall have the power i. To suspend such member of any or all rights of membership for any period not exceeding six months or until otherwise decided by an annual or special general meeting called for this purpose ii. To assess against such member the amount of any damage done by such member or his guest and to recover from such member the amount of such damage. Before exercising any powers under this clause, the Executive Committee may give notice to the member concerned of any charge against them and shall give them an opportunity of being heard personally in reply thereto but shall not be bound to follow any form of judicial or semi-judicial procedure in enquiring into and concluding upon such charge. No member who has been expelled shall be eligible for election onto the Executive Committee for one year thereafter. No member may be expelled from the club except at an annual or special meeting called for this purpose. Voting to take place by ballot with two thirds majority needed. 15. LIABILITY OF MEMBERS: The liability of members shall be limited to; a) The subscription to the end of the current year in which they cease to be a member; b) Any indebtedness to the Club; c) Any liability incurred by any guest introduced by him or her; d) Any damage which may have been lawfully imposed or assessed by the Executive Committee upon or against him or her. 16. RIGHTS OF MEMBERS: The rights of members shall be as follows: a) All members shall have the right to participate actively in the sport controlled by any section of the Club. b) All members, except Honorary Members, and Junior Members shall be entitled to exercise personally one vote each at every General Meeting of the Club. c) Membership of the Club shall not give to any member whatever right, title, interest, claim or demand in or to any of the monies, property or other assets of the Club. 17. ENTRANCE FEE AND SUBSCRIPTION a) The Entrance Fee and subscription shall be determined each year at the Annual General Meeting. 18. SUBSCRIPTIONS – WHEN DUE: a) Entrance Fees; Entrance fees shall be paid upon application for membership. b) Subscriptions: All subscriptions shall be due and payable on 1 July of each year. In the case of new members, the subscription shall be payable upon their being accepted as a member. c) The Subscription or part thereof as herein provided shall be paid within two months of the date when payable. Notice requiring payment shall be sent to any member and should they fail to make payment within thirty (30) days the defaulter shall cease to be a member of the club. d) The Management may reinstate any defaulter on payment of all subscriptions in arrear, including the period since they ceased to be a member or other sums due. e) No member whose subscription is over three (3) months in arrear shall be entitled to any rights of membership. 19. ACCOUNTS The Executive Committee shall cause true and proper accounts to be kept. All funds should be managed by the club treasurer and deposited in the Club bank account. 20. MINUTES Proper minutes of all meetings with the resolutions, and proceedings of each meeting, shall be properly kept and filed in the allocated storage system. Any minutes or extract therefrom, signed by the Chairman and Secretary, shall be received as prima facie evidence of the Meeting stated in the minutes or extract. The minutes of the proceedings of General meetings shall be open to any member of the Club. 21. DOMESTIC RULES OF THE CLUB The Executive Committee shall be empowered to make such Domestic Rules for the administration of the Club, and any such Domestic Rules and amendments thereto shall be published for compliance by members. 22. BANKING ACCOUNT a) The banking account of the Club shall be kept at a Bank in the Fourways area which is to be decided upon by the Executive Committee. All transactions of the club shall be down with the permission of the treasurer who will keep records of all transactions. 23. ALTERATIONS TO THE CONSTITUTION Any alterations to the constitution at a Special General Meeting or Annual General meeting where quorum has been reached must be voted in by two-thirds of the majority. The Old Lions Cricket Club hereby adopts and accepts this constitution as a current operating guide for the club.
