The Company reserves the right, at its sole discretion and witho ut prior notice, to: a) Modify, update, enhance, or remove any feature or functionality of the Services b) Suspend or restrict access to the Services, whether temporarily or permanently c) Introduce new features, systems, or service offerings The Company shall not be liable for any modification, suspension, discontinuation, or unavailability of any part of the Services. 3. Without prejudice to the generality of the foregoing, you agree that you shall not: a) Copy, reproduce, distribute, license, sell, resell, lease, or otherwise exploit any part of the Services, except as expressly permitted by the Company in writing; b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying structure, algorithms, models, or system architecture of the Services; c) Use the Services to develop, train, or improve any competing product, service, or te chnology; d) Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose, or in violation of any applicable law or regulation; e) Upload, transmit, or otherwise make available any content that is illegal, harmful, defamatory, infringing, malicio us, or otherwise objectionable; f) Introduce or transmit any viruses, malware, or other harmful code that may disrupt, damage, or interfere with the Services or related systems; g) Interfere with, disrupt, or compromise the integrity, security, or performance of the Platform, servers, or networks; h) Attempt to gain unauthorized access to any part of the Services, accounts, systems, or data; i) Circumvent, disable, or otherwise interfere with security - related features or access control mechanisms of the Services; j) Use a utomated means, including bots, scrapers, or similar tools, to access or interact with the Services in a manner not expressly permitted; k) Misrepresent your identity or affiliation, or impersonate any person or entity while using the Services. The Company re serves the right to monitor usage of the Services and to investigate any suspected violations of this Clause. Such outputs may be influenced by factors including, but not limited to, the quality, completeness, and accuracy of input data, system parameters, assumptions, and operational constraints. While the Company endeavours to ensure that the Services function in a reliable and consistent manner, you expressly acknowledge and agree that: • All outputs generated through the Serv ices are provided on an “as is” and “as available” basis and are intended solely for informational, assistive, and decision - support purposes; • The Company does not make any representations or warranties, whether express or implied, regarding the accuracy, c ompleteness, reliability, suitability, or fitness for a particular purpose of any outputs; • The Services do not constitute professional, technical, financial, legal, or engineering advice, and shall not be relied upon as a substitute for independent judgmen t, verification, or expert consultation; • You are solely responsible for evaluating, validating, and verifying any outputs before relying on them or using them in any operational, commercial, technical, or decision - making context; To the fullest extent perm itted under applicable law, the Company shall not be liable for any loss, damage, liability, cost, or consequence arising directly or indirectly from: • Any reliance placed on outputs generated by the Services; • Any errors, omissions, or inaccuracies in such outputs; • Any decisions, actions, or inactions taken based on such outputs; or • Any use of the Services in high - risk, critical, or regulated environments without appropriate independent validation. Service Availability T he Company shall use commercially reasonable efforts to ensure that the Services are available, accessible, and operational on a continuous basis, subject to routine maintenance, system updates, and external dependencies. However, you acknowledge and agree that: a) The Company does not guarantee that the Services will be uninterrupted, timely, secure, or error - free at all times; b) The availability and performance of the Services may be affected by factors including, but not limited to, scheduled maintenance, emergency maintenance, system upgrades, technical failures, network issues, third - party service disruptions, or events beyond the reasonable control of the Company; The Company reserves the right, at its sole discretion, to: a) Temporarily suspend, restrict, or limit access to the Services, in whole or in part, for t he purposes of maintenance, repair, upgrades, or system improvements, whether scheduled or unscheduled; b) Modify, update, replace, or discontinue any feature, functionality, or component of the Services at any time, without prior notice; Where reasonably pra cticable, the Company may provide prior notice of scheduled maintenance or material service interruptions; however, no such notice shall be mandatory. To the maximum extent permitted under applicable law, the Company shall not be liable for any loss, damag e, or inconvenience arising out of or in connection with: a) Any interruption, downtime, or unavailability of the Services; b) Any delay, failure, or disruption in performance; or c) Any modification, suspension, or discontinuation of the Services or any part there of. 8. In the absence of such an agreement, you acknowledge and agree that: • The Services are provided on a “best effort”, “as is”, and “as available” basis , without any assurance of minim um service levels; • The Company shall have no obligation to provide any service credits, refunds, or compensation for any downtime, delay, interruption, or degradation in performance of the Services; • Any support, assistance, or response provided by the Comp any shall be at its sole discretion and may vary depending on availability and operational priorities; In the event of any inconsistency or conflict between these Terms and a separately executed SLA, the terms of such SLA shall prevail solely to the extent of such inconsistency. The Company shall not be liable for any failure to meet any service levels or performance expectations not expressly agreed in writing. 9. API Access and Usage Where the Company provides access to the Services through application programming interfaces (“APIs”), such access shall be subject to the terms set out herein, along with any additional technical documentation, guidelines, or usage policies issued by the Company from time to time. API access is granted on a limited, non - exclusive, non - transferable, and revocable basis , solely for the purpose of enabling authorized integration and use of the Services in accordance with these Terms. You agree that: a) You shall use the APIs strictly in accordance with the documentation, specifications, and p ermitted use cases prescribed by the Company; b) You shall not use the APIs in any manner that exceeds reasonable usage limits, compromises system performance, or adversely affects other users; Without limiting the generality of the foregoing, you shall not: www.tivor.us TIVOR PRIVATE LIMITED CIN : U62010TN2026PTC188983 a) Exceed any rate limits or usage thresholds communicated by the Company or attempt to overload, disrupt, or degrade the performance of the Services; b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or unde rlying logic of the APIs or associated systems; c) Use the APIs to develop, train, or support any competing product, service, or technology; d) Use the APIs for any unauthorized, unlawful, or unintended purpose; e) Circumvent authentication mechanisms, access contr ols, or security features of the APIs; The Company reserves the right, at its sole discretion, to: a) Monitor API usage for compliance, performance, and security purposes; b) Impose or modify usage limits, quotas, or access restrictions at any time; c) Suspend, res trict, or revoke API access, with or without notice, in the event of misuse, excessive usage, security concerns, or violation of these Terms; The Company shall not be liable for any loss, disruption, or damage arising from: a) Any modification, limitation, suspension, or termination of API access; or b) Any reliance placed on API availability, continuity, or performance. 10. Data Processing and Hosting The Services may involve the collection, processing, storage, transmission, and handling of data, including User - provided data, on cloud - based or other distributed computing infrastructure. The Company shall use reasonable technical and organisational measures to ensure that such data is processed and stored in a secure manner, in accordance with appli cable laws and industry standards. In connection with the provision of the Services, the Company may engage third - party service providers, including cloud hosting providers, data storage providers, and infrastructure partners, for the purposes of hosting, processing, and managing data. Nothing in this Clause shall be construed as limiting the User’s obligations under applicable data protection laws or these Terms with respect to the data provided by them. 11. Updates and Modifications (SaaS Environment) The Company operates in a dynamic software - as - a - service (SaaS) environment and may, from time to time, deploy updates, upgrades, patches, bug fixes, enhancements, or other mod ifications to the Services in order to improve performance, security, functionality, or user experience. Accordingly, you acknowledge and agree that the Company may, at its sole discretion: a) Modify, update, enhance, replace, or remove any feature, functiona lity, interface, or component of the Services; b) Introduce new features, modules, or capabilities; c) Apply patches, fixes, or upgrades to address technical issues, security vulnerabilities, or system improvements; Such updates and modifications may be implemen ted automatically and may not require prior notice to Users. Beta Features The Company may, from time to time, offer certain features, functionalities, modules, or components of the Services on a beta, trial, experimental, or pre - release basis (“Beta Features”). Such Beta Features are provided for testing, evaluation, and feedback purposes and may not be fully developed, stable, or free from errors. You acknowledge and agree that: a) Beta Features may be incomplete, contain defec ts, or be subject to significant changes in functionality, design, or performance; b) Beta Features are provided on an “as is” and “as available” basis , without any representations or warranties of any kind, whether express or implied; c) The Company makes no gu arantees regarding the availability, reliability, accuracy, or performance of Beta Features; d) The Company may, at its sole discretion, modify, suspend, restrict, or discontinue any Beta Feature, in whole or in part, at any time and without prior notice; You further agree that your use of any Beta Feature is entirely at your own risk. To the fullest extent permitted under applicable law, the Company shall not be liable for any loss, damage, or disruption arising out of or in connection with: a) The use or inabil ity to use any Beta Feature; b) Any errors, defects, or inaccuracies in Beta Features; or c) Any modification, suspension, or discontinuation of Beta Features. Intellectual Property Rights All rights, title, and interest in and to the Services, including all associated intellectual property rights, are and shall remain the exclusive property of Tivor Private Limited and/or its licensors. Without limitation, such intellectual property include s: a) Software, source code, object code, systems, and platform architecture; b) Algorithms, models, logic structures, workflows, methodologies, and processes; c) Artificial intelligence systems, machine learning models, and training frameworks; d) Data structures, system outputs, reports, formats, and generated content; e) User interface designs, layouts, visual elements, and overall look and feel of the Platform; f) Documentation, technical materials, and any proprietary information forming part of the Services. Nothing contained in these Terms shall be construed as granting any license or right, whether expressly, by implication, estoppel, or otherwise, to use any intellectual property of the Company, except for a limited, non - exclusive, non - transferable, and revocable r ight to access and use the Services strictly in accordance with these Terms. You agree that you shall not, directly or indirectly: a) Copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, or otherwise exploit any part of the Services or underlying intellectual property; b) Reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying logic, models, or system architecture of the Services; c) Use the Services, outputs, or any par t thereof to develop, train, benchmark, or improve any competing or similar product, service, or technology; d) Extract, scrape, mine, or otherwise collect data, outputs, or information from the Services for commercial use or competitive advantage; e) Remove, al ter, or obscure any proprietary notices, trademarks, or branding of the Company; All trademarks, trade names, logos, and service marks displayed on the Platform are the property of the Company or their respective owners and may not be used without prior wr itten consent. www.tivor.us TIVOR PRIVATE LIMITED CIN : U62010TN2026PTC188983 Any unauthorized use of the Company’s intellectual property shall constitute a material breach of these Terms and may result in immediate suspension or termination of access, in addition to legal action. 14. You retain ownership of all rights, title, and interest in and to the User Data provided by you, subject to the rights granted to the Company under these Terms. By accessing or using the Services, you hereby grant to the Company a limited, n on - exclusive, worldwide, royalty - free, sublicensable license to: a) Use, access, process, store, transmit, and display User Data for the purposes of providing, operating, maintaining, and improving the Services; b) Analyse and utilize User Data to enhance system performance, functionality, accuracy, and user experience; c) Generate outputs, insights, and results based on such User Data in connection with the Services; You acknowledge and agree that: a) The Company may process User Data using automated systems, algorith ms, and analytical tools as part of the Services; b) The Company may use anonymised, aggregated, or de - identified data derived from User Data for internal research, analytics, system improvement, and business purposes, provided that such data does not identif y any individual or entity; You represent and warrant that: a) You have all necessary rights, licenses, consents, and permissions to provide, upload, and use the User Data in connection with the Services; b) The User Data does not infringe any intellectual prope rty rights, confidentiality obligations, or other rights of any third party; c) The submission and use of such User Data does not violate any applicable laws or regulations; www.tivor.us TIVOR PRIVATE LIMITED CIN : U62010TN2026PTC188983 The Company shall not be responsible for the accuracy, legality, or quality of User D ata and shall not be liable for any loss or damage arising from reliance on such data. Enterprise Use Where the Services are accessed or deployed for use by an organization, institution, or business entity (“Enterprise User”), such use may be subject to specific configurations, integrations, and operational parameters tailored to the requirements of such Enterprise User. You acknowledge and agree that: a) The functionality, features, and performance of the Ser vices may vary depending on system configuration, customization, integration with internal systems, and the specific use case for which the Services are deployed; b) Outputs, analyses, and results generated through the Services may be influenced by factors in cluding internal data inputs, operational constraints, system dependencies, and configuration settings of the Enterprise User; c) The accuracy, reliability, and applicability of outputs in an enterprise environment may depend on the quality, completeness, and integrity of enterprise - specific data and systems; Where the Services are provided pursuant to a separate agreement with an Enterprise User, including but not limited to a master services agreement, service level agreement, or commercial contract, such ag reement may govern additional terms relating to: a) Scope of services and deliverables; b) Performance standards and service levels; c) Data handling, confidentiality, and security obligations; d) Fees, payment terms, and commercial arrangements; In the event of any i nconsistency or conflict between these Terms and any such separately executed agreement, the terms of the separate agreement shall prevail to the extent of such inconsistency. Fees and Payment Certain features, functio nalities, or components of the Services may be offered on a paid, subscription - based, usage - based, or otherwise commercial basis, as may be determined by the Company from time to time. You acknowledge and agree that: a) The applicable fees, pricing structure, billing cycle, and payment terms shall be communicated separately, either through the Platform, order forms, invoices, or a separate written agreement; b) You shall make all payments in accordance with the agreed terms, including timelines, modes of payment, and applicable conditions; c) All fees are exclusive of applicable taxes, duties, or levies, unless otherwise specified, and you shall be responsible for payment of such additional charges as required under applicable law; Unless expressly agreed otherwise i n writing: a) All payments made to the Company are non - refundable and non - cancellable ; b) No refunds, credits, or adjustments shall be provided for partial use, non - use, or suspension of the Services; The Company reserves the right, at its sole discretion, to: a) Modify pricing, introduce new charges, or revise existing fees, upon reasonable notice where applicable; b) Suspend, restrict, or terminate access to the Services in the event of non - payment, delayed payment, or breach of payment obligations; In the event of any payment default, the Company may, without prejudice to any other rights or remedies available under applicable law, take appropriate action including recovery of outstanding amounts and applicable charges. www.tivor.us TIVOR PRIVATE LIMITED CIN : U62010TN2026PTC188983 17. Limitation of Liability To the maximum extent permitted under applicable law, you expressly acknowledge and agree that the Company shall not be liable for any loss, damage, or liability arising out of or in connection with your access to or use of, or inability to use, the Services. Without limiting the generality of the foregoing, the Company shall not be liable for: a) Any indirect, incidental, special, consequential, or punitive damages of any kind whatsoever ; b) Any loss of profits, revenue, business opportunities, goodwill, or anticipated savings; c) Any loss, corruption, or inaccuracy of data, or costs associated with recovery of data; d) Any interruption, delay, or disruption in the availability or performance of t he Services; e) Any decisions, actions, or omissions taken by you or any third party based on outputs, analyses, or results generated through the Services; You further acknowledge that the Services are provided as a tool to assist and support decision - making, and the Company shall not be responsible or liable for any operational, technical, commercial, or strategic outcomes arising from reliance on the Services. To the fullest extent permitted under applicable law, the total aggregate liability of the Company, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total amount actually paid by you to the Company for the Services giving rise to the claim, during the twelve (12) months preceding the event giving ris e to such liability. Nothing in these Terms shall exclude or limit liability to the extent such liability cannot be excluded or limited under applicable law. 18. The Company reserves the right, at its own cost, to assume exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you shall continue to remain responsible for all indemnity obligations under this Clause. 19. Suspension and Termination The Company reserves the right, at its sole discretion and without prejudice to any other rights or remedies available under applicable law, to suspend, restrict, or terminate your access to the Services, in whole or in part, at any time.
