The Freelancer is engaged on an independent freelance basis to personally perform the assigned services. References in the source project documents to “vendor”, “employee”, “candidate”, “deployed candidate”, or “manpower” are adapted in this Agreement to refer to the individual Freelancer and do not create an obligation for the Freelancer to provide staff or manpower. 1. PURPOSE This Agreement governs the engagement of the Freelancer for execution of data entry and data processing services and related project services assigned by the Client. 2. TERM This Agreement shall remain valid unless terminated as per this Agreement. 3. NATURE OF RELATIONSHIP The Freelancer is an independent contractor. No employment, partnership, agency, or employer-employee relationship is created. 4. SCOPE OF SERVICES Services shall be performed by the Freelancer personally as per the Statement of Work (SOW), project guidelines, SOPs, quality standards, and instructions communicated by the Client. 5. FREELANCER OBLIGATIONS • Personally perform the assigned work unless the Client gives prior written approval for another person to assist. • Maintain productivity, accuracy, quality, and professional conduct. • Maintain suitable equipment, internet connection, software, and a secure working environment. • Comply with applicable laws and tax obligations applicable to the Freelancer's independent business activities. • Promptly communicate any absence, unavailability, technical issue, or circumstance that may affect delivery. • Maintain proper communication with the Client throughout the project. • Keep all project credentials, datasets, client information, screenshots, instructions, and outputs confidential. • The Freelancer shall not transfer or share their project account or credentials with another person. 6. Rates are calculated per 1,000 entries. The number of Accept + Reject and Update entries received may vary according to actual project workload. No fixed quantity of work or minimum payment is guaranteed unless separately agreed in writing. Below 1,000 entries are zero billable for the applicable daily output calculation. 6.2. PAYMENT CYCLE The payment cycle will be 45 days. The project pay period is 21st to 20th where that cycle is applicable. Payment is subject to approved work, quality verification, reconciliation, and applicable billing conditions. 6.3. WORKING CALENDAR • Sunday and Monday are weekly off days unless the Client communicates a project-specific change. • The project working calendar is approximately 22 working days, subject to the actual project schedule and holidays. • The general project working window is 12:00 AM to 4:00 PM IST, with the Freelancer's exact assigned schedule communicated by the Client. • Where an 8-hour workday is required for the project, the Freelancer shall make themselves available for a minimum of 8 working hours per day. 6.4. DAILY ATTENDANCE / AVAILABILITY • The Freelancer shall submit their daily attendance or availability report, where required, before 09:30 AM IST on each working day. • Any absence or planned unavailability must be reported to the Client immediately. 6.5. PROJECT COORDINATION • The Freelancer shall maintain proper coordination and communication with the Client throughout the project. • Timely responses to operational, training, production, quality, and project-related communications are mandatory. • No dedicated manpower coordinator is required because this is an individual Freelancer engagement. 6.6. DAILY PRODUCTION TARGET • The Freelancer shall aim to achieve a minimum production target of 15,000 entries per day during the first month where this target applies to the project. • From the second month onwards, the applicable target may be 20,000 entries per day where specified by the Client. • The Client may review workload, payment eligibility, suspension, or continuation if the Freelancer consistently fails to meet applicable production requirements. • Login hours alone are not billable; payment depends on approved productive output. 6.7. PROJECT EXIT AND TRAINING CHARGE • If the Freelancer leaves, discontinues, or withdraws from the project within two months of onboarding, with or without prior information, any treatment of earned payment as training or operational charges shall be subject to applicable law and the agreed project terms. • The Client may withhold or adjust amounts only to the extent legally permissible and reasonably connected to documented training or operational expenses. 6.8. NOTICE PERIOD The Freelancer shall provide a minimum of ninety (90) days' written notice before withdrawing from or terminating participation in an ongoing project, unless otherwise agreed in writing. Failure to provide notice may result in payment being limited to approved work and may give rise to lawful recovery of documented losses. CONFIDENTIAL Freelancer Data Entry Agreement Page 3 6.9. NON-CIRCUMVENTION AND CLIENT PROTECTION • The Freelancer shall not directly or indirectly approach, contact, negotiate, contract, solicit, recruit, or engage with any client introduced by the Client without prior written consent. • The Freelancer shall not attempt to bypass the Client for any business opportunity, project, service, or commercial arrangement related to the Client's clients. • This restriction shall remain valid during the project and for two (2) years after completion or termination, subject to applicable law. COMPLIANCE WITH PROJECT GUIDELINES • The Freelancer shall comply with all project guidelines, SOPs, confidentiality requirements, quality standards, and operational instructions issued by the Client. • The Freelancer shall personally follow all project policies and procedures. 8. ACCEPTANCE OF TERMS • By signing this Agreement, the Freelancer confirms that they have read, understood, and agreed to all terms. • Any material breach may result in termination and applicable legal action. 9. PAYMENT CONDITIONS 9.1 ASSUMPTIONS • Pay Period: 21st to 20th, where applicable. • Night Shift Slot: 10:30 PM to 5:30 AM, where applicable. 9.2 CRITERIA APPLIED FOR HC PLC • HC PLC threshold percentage for 1,000 fields and above per day per Freelancer: Update – 18%. • Reject – 18%. • Accept – 96%. • Exclusion for Update / Reject / Accept where any applicable criterion is met. • If the Freelancer crosses the Reject threshold of 40% per day and quality is below 96%, the counts of that particular day are not considered for payout under the project rules. 9.3 QUALITY PARAMETERS • Quality is considered for the applicable pay-period month. • Audited fields greater than 50 field count may be used for quality measurement. • Newcomer grace period of 4 weeks may apply for quality measurement; threshold penalty remains unchanged. • For quality measurement, Pass/Fail status will be determined based on 50+ audited cases; fewer than 50 audits will use applicable threshold parameters. • Quality threshold: 96%. 9.4 QUALITY % RANGE (SLAB) / DEDUCTION % (VOL. PENALTY) Quality % Range Deduction >96% No Deduction 94% – <96% 10% Deduction 90% – <94% 20% Deduction 85% – <90% 30% Deduction 80% – <85% 50% Deduction 0% – <80% 100% Deduction 9.5 FOR BETTER UNDERSTANDING • Threshold Passed & Quality Not Found: No Deduction • Threshold Failed & Quality Not Found: Full Deduction • Threshold Passed & Quality Failed: Deduction as per above Slab • Threshold Failed & Quality Failed: Deduction as per above Slab • Threshold Passed & Quality Passed: No Deduction CONFIDENTIAL Freelancer Data Entry Agreement Page 5 • Threshold Failed & Quality Passed: No Deduction 9.6 DEACTIVATION RULES • The Freelancer may be subject to deactivation (exit) if any of the following conditions (OR 1, OR 2, OR 3) are met. • OR 1: Audit count is greater than or equal to 15 (Audit >= 15) AND Quality is less than 80% (Quality < 80%) for 3 consecutive weeks. • OR 2: For slab-based performance (<96% and >80%), the Freelancer has 3 failures out of 5 weeks where the applicable audit and quality conditions are met; the Freelancer will be paid according to the applicable slab deduction and may at the same time be removed from the system due to quality issues. • OR 3: The Freelancer has 3 failures out of 5 weeks where Audit >=15 AND Quality <80%, and the current week's Quality is also less than 80%. 9.7 FEEDBACK RULES • Audit count >=50 AND Quality <96% for 2 consecutive weeks, or for 1 week where Audit >=50, subject to the project's quality process. 10. ZERO BILLING CONDITIONS • No payment will be made if the work is below the applicable threshold. • Quality <80%. • Incomplete work. • Unapproved output. 11. WORKING HOURS & PRODUCTION • The Freelancer must work a minimum of 8 hours per day where the project requires an 8-hour schedule. • The Freelancer must deliver productive output. • Login hours billable. • Payment depends on output, not time. • Failure may result in no payment for affected output and/or removal from the project. 12. ZERO BILLING RULE (STRICT) • Below 1,000 entries No payment. • Below 80% quality No payment. • Below threshold No payment. 13. NOTICE PERIOD • Freelancer must give 90 days' notice unless otherwise agreed in writing. • If notice is not provided, payment may be limited to approved work. • Any penalty or recovery must be subject to applicable law. 14. TERMINATION • Client may terminate the Freelancer engagement at any time where legally permitted. • Upon termination: only approved work is payable. • Work-in-progress may be non-billable if it is not approved or does not satisfy billing requirements. 15. CONFIDENTIALITY Freelancer shall not disclose any project or Client data. This obligation is valid for 3 years after termination, subject to any longer protection required by applicable law or applicable to trade secrets. 16. INTELLECTUAL PROPERTY All project-specific work belongs to the Client to the extent permitted by applicable law. CONFIDENTIAL Freelancer Data Entry Agreement Page 6 17. NON-SOLICITATION • Freelancer shall not knowingly solicit or hire the Client's employees or personnel for competing work, to the extent permitted by applicable law. • Freelancer shall not directly work with the Client's project direct client in circumvention of the Client, subject to applicable law. 18. FRAUD • If fraud is detected: immediate termination may apply. • Payment may be withheld or forfeited only to the extent permitted by applicable law and the agreed project terms. • Legal action may be taken where appropriate. 19. GOVERNING LAW • India. • Budaun, Uttar Pradesh jurisdiction, subject to applicable law. 20. DATA SECURITY • Freelancer shall protect project data and credentials using reasonable security measures. • Project data must not be shared with unauthorized persons or stored on unauthorized public platforms. • Any suspected data breach, unauthorized access, credential compromise, or loss of project data must be reported immediately. 21. NO UNAUTHORIZED SUBCONTRACTING This is an individual Freelancer engagement. The Freelancer shall personally perform assigned work and shall not subcontract, outsource, transfer, or permit another person to perform work through the Freelancer's account or credentials without the Client's prior written approval. 22. RETURN / DELETION OF DATA Upon completion or termination, the Freelancer shall return, delete, or securely dispose of Client data and credentials as instructed, subject to any lawful retention requirement. 23. ENTIRE AGREEMENT This Agreement together with applicable SOWs, project instructions, and mutually accepted commercial terms constitutes the understanding between the Parties regarding the Freelancer's engagement. 24. SEVERABILITY If any provision is held invalid or unenforceable, the remaining provisions shall continue to the extent permitted by applicable law. 25. AMENDMENTS Any amendment to this Agreement should be made in writing and accepted by both Parties. 26. ACCEPTANCE AND SIGNATURES By signing this Agreement, both Parties confirm that they have read, understood, and agreed to all applicable terms and conditions stated herein.
