Terms and Conditions Colbert Global LLC Terms and Conditions The Non - Disclosure Agreement are specifically incorporated herein by reference. That, along with these Terms and Conditions, form the Agreement between: Colbert Global LLC (“Company”) and the Independent Contractor. They shall be effective only upon acceptance by the Company, at its principal office: Colbert Global LLC Mableton,GA United States Independent Contractor Agrees: 1. Independent Contractor is o f legal age (18 or older) in the state/province or country in which he/she resides. 2. Independent Contractor understands that he/she is compensated on a commission basis of either a 50/50, 60/40, 70/30, 80/20, or 100 percent commission split of net tax preparation fees dependent on Company ’s discretion. . Commission is agreed to between “Company” and Independent Contractor at the time of enrollment and will n ot be eligible for re - evaluation or upgrade until the “1” Year Anniversary date from enrollment depe nding on Contractor performance and Company ’ s discretion 3. Independent C ontractor agrees that enrollment will automatically renew annually at the time of their one - year anniversary. 4. Independent Contractor agrees that if they want to change their enrollment status they must submit the change request in writing to ColbertGlobal@gmail.com at least 60 days prior to anniversary date. 5. Independent Contractor under stands that all enrollment fees are Non - Refundable. Any return payments and chargebacks will be taken up with legal action and “Company” reserves the right to sue for all legal fees including but not limited to, legal fees, filing fees, parking, and tra nsportation. 6. Independent contractor understands that they must complete all training and successfully pass all assessments prior to receiving any company credentials and going live with active software. 7. Independent contractor understands that all of their clients’ files will be reviewed for accuracy and compliance prior to the company transmitting to the IRS. 8. Independent Contractor, upon acceptance, an Independent Contractor conducting business for his/her own account and not as an agent, employee, or franchise for the “Company”. As such, must provide his/her Social Security Number or Federal Tax Id number for tax reporting purposes on any monies earned within the country. All Independent Contracto rs should consult their attorney or tax consultant for information on monies earned and where received. 9. Independent contractor agrees and understands that they shall remain current with their own personal and business federal and state taxes as appli cable to maintain their partnership with the company. 10. The Independent Contractor further understands that he/she will not be treated as an employee regarding any laws covering employees. As an Independent Contractor he/she will be responsible for ob taining all licenses required by law in whatever State, County, or Country in which they reside, and pay all applicable fees and taxes including PTIN renewal and registrations. 11. Independent Contractor agrees to accept the sole responsibility for all s elf - employment and all legal country/federal and state and local income and sales taxes and any other taxes on income earned as an Independent Contractor. The Company will file appropriate tax earnings report forms on each Independent Contractor at the c lose of the calendar year for the amount of commissions and bonuses earned in their country of residence under this agreement. 12. Independent Contractor agrees that the Company is not liable for city, county, state, local and country/federal income taxes , sales taxes or other fees pertaining to sales and earnings of a Independent Contractor and Independent Contractor will hold the company harmless from all of the same. 13. Independent Contractor SHALL NOT promote or sell other companies’ sales programs, products or Company functions on websites where Company is mentioned, or use the Company forms or printed materials or its name, prestige, likeness, or drawing power in conjunction with or in support of any other activities. 14. Independent contractor sha ll not store, save, forward, share or anything in relation to any proprietary information received by the “Company” during nor after their tenure. Information includes but is not limited to - trainings, coaching, concepts, ideas, client information, slogan s, tag lines, company projections and or sales. 15. Independent Contractor will make no claims as to income potential either written or oral except those prepared by the company for illustration purposes only. 16. Company shall not be responsible for acts beyond its control, including but, not limited to: fire, flood, earthquake, storms, power outages, labor difficulty, equipment failure, supplier p roblems, pandemics, natural disasters, or other difficulties that might prevent performance according to this agreement. 17. Company assumes no liability for personal injury arising from use or mishandling of any of the Company products. 18. Independent contractor agrees that if working at a corporate office owned or leased by the “Company”, that no items will be removed from such office without direct permission from the CEO/Founder. Items include - paper, printers, computers (unless owned by independent contractor), files, pens, sanitizer, etc. All items must remain on company property and any violation recorded will result in immediate dissolution of the contract - forfeiting any refunds on any enrollment fees paid and forfeiting any pending commission s and could result in legal action being taken against the Independent contractor. 19. Independent contractor agrees to maintain separate social media pages. Independent contractor shall not advertise, market, promote or any relation to on any personal s ocial media page that does not represent the beliefs, culture, and or brand of the “Company”. Any violation of such shall result in immediate dissolution of contract and forfeit any pending commissions. 20. Independent contractor understands that they ha ve the option to refer other people to the “Company” and in doing so will receive a Referral Bonus not greater than the value of 10% of Referee’s net commission, under the condition that the Independent Contractor who made the referral completes and fun ds at minimum 25 tax returns. Referral bonus will not be paid to Independent Contractor if the minimum requirement is not met. Referral bonus is paid on Referee’s first year commissions only. 21. Independent Contractor agrees that the “Company” has a s uggested pricing scale and must receive approval from CEO/Founder or their representative to override the set pricing scale. 22. The company reserves the right in the event of a contract breach to retain all future commissions and bonuses. 23. The company reserves the right in the event of early contract termination to collect from Independent contractor any future sales, deposits, and or preparation fees Independent Contractor earns outside of the “Company” through their original annivers ary date. Any items income related earned after contract breach are still owed to the company until anniversary date. The company reserves the right to take legal action to collect such funds from Independent Contractor for any sales earned from informa tion, teachings, and trainings derived from the “Company”. 24. The “Company” reserves the right to terminate this agreement immediately upon receipt of sufficient information that Independent Contractor has violated any term or condition of this agreeme nt or has otherwise acted illegally or unethically and retain any and all pending commissions. 25. The company reserves the right to terminate the contract when performance is not on the same scale as other independent contractors who’ve completed the sa me training and have the same resources. 26. Independent contractor further understands this is a business and not a job therefore independent contractor shall utilize the resources provided including but not limited to, trainings, coaching, notes, and IRS publications to be self - sufficient and successful. 27. Company requires that all Independent Contractors obey the letter and the spirit of the law. 28. The “Company” is an equal opportunity Company. I have not violated any non - competition, non - compete, non - solicitation, or confidentiality agreement entered into with any other organization or entity, and by becoming an Independent Contractor for Colbert Global LLC I will not be violating any agreement or contract, including non - competition, noncompete, non - solicitation entered in with any other organization.
