Without obtaining approval from other partners, Raj entered into a consultancy contract worth ₹ 25 lakh with Zenith Ltd. on behalf of ABC LLP. At the time of entering into the contract, Zenith Ltd. had no knowledge of the restriction imposed on Raj’s authority under the LLP Agreement. Later, ABC LLP refused to perform the contract on the ground that Raj had exceeded his authority and, therefore, the LLP was not bound by the agreement. Ltd. , an existing company incorporated in 2020, filed an application before the Central Government stating that the name of RST LLP was too nearly resembling its company name and was likely to mislead the public. Simultaneously, the proprietor of a registered trademark “FUTURE EDGE” also raised an objection against the LLP. RST LLP contended that since the Registrar had already reserved the name under Section 16 and subsequently incorporated the LLP, no further objection could be entertained. During this period, a legal notice sent by a creditor to the registered office recorded with the Registrar was returned undelivered. The creditor suffered losses and initiated legal proceedings against the LLP. Marks 6 Question 6 Rohit, a partner of RST LLP, entered into a contract with a supplier on behalf of the LLP. The supplier was unaware of any restriction on Rohit’s authority. Later, the LLP refused to honor the contract, claiming that Rohit had exceeded his authority.
