To ensure that every investor is represented, Fund managers of each investment vehicle that has committed capital to invest will make its recommendation to the Investment Committee, after having considered the criteria described below. The Investment Committee will make the final deal allocation decision after having considered the recommendations of the respective Fund manager s and the criteria described below. When allocating deals, without limitation and in no order of priority, the Investment Committee will consider the following factors: The size of the deal Available commitments in each vehicle Geographic concentration and target weightings of each vehicle Investment strategy concentration and target weightings of each vehicle Timing of capital commitments and investments Deals in the pipeline Cash flow requirements of the deal and liquidity management Investors’ mandates While we anticipate that a deal will be better suited for a particular investment vehicle, if all of the factors above are equal, the Investment Committee will assign the deal to the investment vehicle that has had the most time pass since its last acquisition.
